Sedrino Product & Plan Terms (Billing, Pricing, Usage)

These Product & Plan Terms apply to paid subscriptions, hosting, usage-based charges, and plan features for Sedrino. They are incorporated into the Agreement.
1. Plans, Tiers, and Hosted Services
1.1 Plans. We may offer multiple plans and tiers (e.g., free, trial, and paid tiers) with different features, Plan Limits, and pricing as described on https://sedrino.com or in an Order Form.
1.2 Hosted Services. If your plan includes hosting/deployment/runtime features, those are “Hosted Services.” Hosted Services may include (depending on plan): deployments, runtime compute, bandwidth, storage, logs, and related functionality.
1.3 No SLA unless Order Form. Unless expressly stated in an Order Form, we do not provide any SLA or uptime commitment.
2. Subscription Billing; Auto-Renewal
2.1 Billing frequency. Paid subscriptions are billed in advance on a monthly or annual basis (or as stated in an Order Form).
2.2 Auto-renewal. Subscriptions automatically renew for successive periods of equal length unless you cancel before the renewal date.
2.3 Cancellations. Cancellation takes effect at the end of the current billing period unless otherwise stated. You remain responsible for fees and usage incurred through the cancellation effective date.
3. Payment Method; Automatic Charges
3.1 Payment method required. To use paid features or usage-based Hosted Services, you must maintain a valid payment method on file.
3.2 Authorization. You authorize us (and our payment processor) to charge your payment method for:

subscription fees;

usage-based charges, including automatic overages (Section 5);

applicable taxes; and
-
any other amounts due under the Agreement.
3.3 Failed payments. If payment fails or is reversed, we may suspend or limit Services (including Hosted Services) until all amounts are paid.
4. Plan Limits Are Not Hard Caps
4.1 Not hard caps. Unless we expressly state otherwise in an Order Form, Plan Limits are service controls—not hard caps. Due to technical or operational constraints, the Services may not automatically prevent usage beyond Plan Limits.
4.2 Your responsibility. You are responsible for monitoring usage and selecting an appropriate plan/tier.
5. Usage-Based Charges; Automatic Overages
5.1 Usage-based billing. Certain features (especially hosting/runtime) may be billed based on usage. Usage metrics and rates (e.g., bandwidth, requests, storage, compute time) are described in the plan documentation, pricing page, or Order Form.
5.2 Overages. If you exceed Plan Limits, we may (at our discretion):

automatically charge overage fees at our then-current rates;

require you to upgrade to a higher tier; and/or
-
throttle, degrade, suspend, or terminate affected Services.
5.3 Automatic overages. You acknowledge and agree that overage charges may be billed automatically to your payment method without additional approval, subject to any invoice/receipt we provide.
5.4 Best-effort controls. Any dashboards, alerts, budgets, or usage controls are best-effort and may not prevent overages.
6. Metering; Invoices; Billing Disputes
6.1 Metering. We use reasonable efforts to measure usage accurately, but metering may rely on third-party systems. Our usage measurements and billing records are authoritative absent a demonstrated material error.
6.2 Invoices/receipts. We may provide invoices or receipts within the Services or by email.
6.3 Disputes. You must notify us of any billing dispute within 30 days of the charge or invoice date, and you must provide reasonable detail. Undisputed amounts remain payable.
7. Throttling; Suspension for Excess Usage; Abuse Protection
7.1 Protecting the platform. We may throttle, degrade, limit, suspend, or terminate access to some or all of the Services (including Hosted Services) if:
(a) your usage materially exceeds Plan Limits;
(b) your usage threatens stability, security, or performance;
(c) you fail to pay undisputed amounts; or
(d) we reasonably believe your usage violates the Agreement.
7.2 Notice (when practicable). We will use commercially reasonable efforts to provide notice before restricting service when practicable, but may act immediately without notice where necessary to prevent harm, abuse, or excessive cost.
8. Changes to Pricing, Plans, and Plan Limits
8.1 We may change. We may change plan pricing, features, Plan Limits, and usage-based rates from time to time.
8.2 Subscription fee changes. Changes to subscription fees will take effect at your next renewal unless otherwise stated in an Order Form. We will provide reasonable notice of material subscription fee increases (e.g., by email or in-product notice).
8.3 Usage-based rate changes. Changes to usage-based rates may take effect upon reasonable notice, including by posting updated pricing within the Services or on our website.
8.4 Your remedy. If you do not agree to a pricing change, your sole remedy is to cancel or not renew before the change takes effect.
9. Taxes
Fees and usage charges are exclusive of taxes. You are responsible for applicable taxes, duties, or government charges, except taxes on our net income.
10. Refunds; Credits
10.1 No refunds. Except as required by law or expressly stated in an Order Form, all fees are non-refundable. Charges for usage-based Services (including hosting usage and overages) are non-refundable.
10.2 Promotions. If we offer promotions, trials, or credits, they may have separate terms and may be modified or discontinued at any time.
11. Downgrades; Plan Changes
11.1 Plan changes. If you downgrade, some features may stop working and Plan Limits may decrease immediately or at the next billing cycle (as described in the Services). You are responsible for ensuring your usage remains within the new plan.
11.2 Data impact. Downgrades may affect retention, access to logs, or access to deployments and resources.
12. Enterprise Terms (Optional)
If you have an Order Form with custom billing, invoicing, net payment terms, or purchase orders, those terms control over these Product & Plan Terms.
